USER AGREEMENT
1.1. This User Agreement (the “Agreement”) governs the use of the Golova SaaS platform (the “Services”) provided by Golova Europe SL, a company incorporated under Spanish law, with registered office at Calle l’Hospital, 95, Planta 1, Puerta 2, 08001 Barcelona, Spain, Tax ID B70717004, EU VAT ESB70717004, registered with the Mercantile Registry of Barcelona, Volume 49139, Folio 218, Sheet B-609178, First Entry (15.02.2024), EUID ES08005.000701808, certified as a Startup company by ENISA pursuant to Spanish Law 28/2022 of 21 December (certification date: 18.02.2026) (the “Provider”, “Golova”, “we”).
1.2. The Services consist of a cloud-based software (Software-as-a-Service, SaaS) for the management of equipment rental and event production activities, including inventory management, project management, quotation and invoicing, team collaboration, AI-assisted features and related modules (Golova.work, Golova.wiki, Golova.market). The Services are accessible through the website golova.ai and through the mobile applications for Android and iOS.
1.3. By registering an account, ticking the acceptance box at registration or otherwise using the Services, the customer (the “Customer”, “you”) accepts this Agreement and concludes a contract with the Provider on these terms. The Agreement, together with the Privacy Policy, the Cookie Policy, the Data Processing Agreement (Annex 1) and the description of the applicable Service Plan published at https://golova.ai/en/price, constitutes the entire agreement between the parties.
1.4. The Services are designed for business use — legal entities, self-employed professionals and natural persons acting in the context of a professional or business activity. Where a natural person not acting for business purposes registers to use the Services, the special consumer provisions of section 14 apply additionally and prevail over the general provisions in case of conflict.
1.5. The current version of this Agreement is always available at https://golova.ai/en/user-agreement and in the other languages in which the Services are offered. For business Customers, in the event of any discrepancy between language versions, the English version prevails. For Consumers, the language version in which the contract was concluded is binding.
2.1. In addition to the terms defined elsewhere in this Agreement:
- Account — personal registration of a Customer giving access to the Services.
- Business Customer — Customer that is a legal entity, self-employed professional or natural person acting in the course of their business, commercial or professional activity.
- Consumer — natural person acting for purposes outside their commercial, business, trade or profession, in accordance with Article 3 of Spanish Royal Legislative Decree 1/2007 (revised text of the General Law for the Defence of Consumers and Users, “TRLGDCU”) and Article 2 of Directive 2011/83/EU.
- Customer Data — any data, including personal data of End Users, that the Customer uploads to, generates within or otherwise makes available through the Services.
- End User — natural person whose data are uploaded into the Services by a Customer.
- Service Plan — the subscription plan (Free, Plan A, Plan B, Plan C, Plan D, Plan E or Custom Plan) selected by the Customer, with the prices, limits and features published at https://golova.ai/en/price.
- Subscription — Customer’s temporary right to use the Services within the scope of the chosen Service Plan for a paid period.
- Trial — free, time-limited use of a Service Plan offered upon registration.
3.1. To use the Services beyond the publicly accessible pages, you must register an Account by providing accurate, complete and up-to-date registration data — including an email address, a password meeting our security requirements and, where applicable, the account type (Company, Self-employed, Individual) and the corresponding tax or registry identifiers.
3.2. You confirm that you have full legal capacity to enter into this Agreement and, when you register on behalf of a legal entity, that you have authority to bind it. You are responsible for the accuracy of the information provided and for keeping it updated.
3.3. You are solely responsible for maintaining the confidentiality of your access credentials and for all activity carried out under your Account. You undertake to notify us immediately at hello@golova.ai if you suspect unauthorised use.
3.4. We may refuse a registration request, suspend or close an Account where: (a) we consider the registration data to be inaccurate or fraudulent; (b) the Customer materially breaches this Agreement; (c) the Customer has overdue unpaid amounts; (d) required by applicable law or a competent authority; (e) the Account has remained inactive for an extended period and we have notified the Customer of the upcoming closure.
4.1. The features available to the Customer depend on the Service Plan. The list of Service Plans and the corresponding prices, features and limits are published at https://golova.ai/en/price. The prices published are the only binding prices; any price referenced in the body of this Agreement is merely illustrative.
4.2. Prices do not include applicable VAT, which is charged additionally where required. The applicable VAT rate is indicated on the invoice.
4.3. Trial.
- Upon registration, the Customer receives a free 14-day Trial of a Service Plan as indicated on the registration screen. To start the Trial, we request the Customer’s payment details.
- If, before the end of the Trial, the Customer does not cancel the Trial through the account settings, the Trial will automatically convert to a paid Subscription of the same Service Plan on the day following the end of the Trial. The first payment is charged on that day.
- If the Customer cancels the Trial through the account settings before it ends, no payment is charged and access to the paid features ends at the end of the Trial.
- We notify the Customer by email at least three (3) days before the end of the Trial that the Subscription will start unless cancelled.
- Consumers (section 14) give separate, express consent to the conversion of the Trial into a paid Subscription, pursuant to Article 22 of Directive 2011/83/EU.
4.4. Payment. Subscription fees are charged in advance for the applicable billing period (monthly, quarterly, semi-annual or annual, at the Customer’s choice). Payments are processed by Stripe Payments Europe Ltd. We do not receive or store payment card data.
4.5. Automatic renewal. Subscriptions automatically renew at the end of each billing period for the same period and at the price of the then-current Service Plan, unless the Customer cancels the Subscription through the account settings at least one (1) day before the end of the current billing period.
4.6. Right to cancel the Subscription at any time. Customers may cancel their Subscription at any time through a simple and free electronic procedure available from the Account dashboard. The cancellation takes effect at the end of the current billing period, unless the mandatory consumer protection rules of the Consumer’s country of residence require an earlier effect (see section 14). For Consumers in jurisdictions where local law so requires, this functionality is provided without need to log in (accessible via a specific footer link) and within a maximum of three (3) clicks from the start of the cancellation flow to confirmation. Following confirmation, the Customer receives an electronic confirmation by email stating the cancellation date and a reference number.
4.7. Late payment. Without prejudice to applicable consumer protection legislation, where the Customer is a Business Customer and the Subscription is not paid by its due date, the applicable statutory interest under Spanish Law 3/2004 on measures to combat late payment in commercial transactions will accrue, together with reasonable collection costs. We may suspend access to the Services until the full amount due is paid.
4.8. Price changes. We may modify the prices of a Service Plan by notifying Customers in writing (by email or within the Services) at least thirty (30) days in advance. The new price applies to the next billing period after expiry of the notice period. If a Customer does not agree to the new price, the Customer may cancel the Subscription before the new price takes effect; the current billing period continues at the previous price.
4.9. Plan changes. The Customer may change Service Plan at any time. In case of mid-period upgrade, the difference is charged on a pro-rata basis for the remainder of the billing period. In case of mid-period downgrade, the change takes effect in the next billing period; the unused portion of the higher Plan is not refunded, unless required by applicable law (in particular section 14 for Consumers).
5.1. Business Customers. Business Customers are not Consumers and therefore do not benefit from the legal right of withdrawal provided for in Articles 9 to 15 of Directive 2011/83/EU. Save for the refunds expressly provided in this Agreement (in particular sections 4.8 — disagreement with price increase — and 9.4 — Provider’s breach), the unused portion of a paid Subscription is not refunded in case of termination by the Customer.
5.2. Consumers. Consumers have a right of withdrawal of fourteen (14) calendar days from the conclusion of the contract, in accordance with Articles 9 to 15 of Directive 2011/83/EU and Articles 102 to 108 of the TRLGDCU. Where, at the start of the Subscription, the Consumer has given their prior and express consent to immediate performance of the digital service and has expressly acknowledged the loss of the right of withdrawal in this case, the right of withdrawal does not apply (Article 16(m) of Directive 2011/83/EU). The Consumer is requested to confirm both consents at the time of payment. Where the mandatory consumer protection rules of the Consumer’s country of residence provide for a different or additional right of withdrawal (in particular the seven-day right of withdrawal applicable in certain non-EU jurisdictions), that right also applies.
5.3. Where the right of withdrawal is applicable, the Consumer may exercise it by sending an unequivocal statement to hello@golova.ai or by using the model withdrawal form available at https://golova.ai/en/withdrawal-form. The refund is made within 14 days of receipt of the withdrawal, using the same means of payment originally used by the Consumer.
5.4. Other refunds — outside the scope of the right of withdrawal — are made at the discretion of the Provider and do not constitute a contractual obligation, unless required by mandatory law.
6.1. The Customer obtains a non-exclusive, non-transferable and non-sublicensable right to access and use the Services during the term of the Subscription and within the scope of the applicable Service Plan.
6.2. The Customer shall use the Services in accordance with this Agreement, applicable law and reasonable usage instructions published in the documentation. In particular, the Customer may not:
- attempt to circumvent the security measures of the Services or gain unauthorised access to other Customers’ data;
- use the Services to send unsolicited communications, malware, viruses or any harmful code;
- use the Services to store, distribute or process illegal, infringing content or content that violates the privacy of third parties;
- decompile, reverse engineer or otherwise attempt to obtain the source code of the Services, except as permitted by mandatory law;
- use automated tools (bots, scrapers) to access the Services without our prior written consent;
- use the Services in a way that may impair the functioning of our infrastructure or the experience of other Customers.
6.3. The Customer is responsible for the lawfulness of the Customer Data, in particular for having the right to upload them, process the personal data of End Users contained therein and use the Services for the intended purpose. The Customer is the controller of End Users’ personal data; section 10 and the Data Processing Agreement (Annex 1) govern this relationship.
6.4. We may suspend access to the Services where we reasonably consider that the Customer materially breaches this Agreement, or that the integrity, security or stability of the Services is at risk. Save in an emergency, we will give the Customer prior notice and a reasonable opportunity to remedy the situation.
7.1. We strive to keep the Services available 24/7. We do not guarantee uninterrupted availability and may schedule maintenance windows that temporarily affect availability. Save in an emergency, scheduled maintenance is announced at least two (2) days in advance and carried out outside peak hours where reasonably possible.
7.2. We may update the Services periodically — including modifications to the user interface, addition or removal of features, performance optimisation. Material reductions in functionality of an existing Service Plan are notified at least thirty (30) days in advance; where such reduction substantially harms the Customer’s interests, the Customer may terminate the Subscription within that period and obtain a pro-rata refund of the unused prepaid period.
7.3. We perform regular backups of Customer Data. Backups are kept primarily as a precaution against technical incidents on our side. They do not replace the Customer’s own backups.
8.1. All intellectual and industrial property rights in the Services, including software code, designs, documentation, trademarks (in particular the “Golova” name and figurative elements), domain names, AI models and databases, belong to the Provider or its licensors. Nothing in this Agreement transfers these rights to the Customer. The Customer obtains only the limited right of use described in section 6.1.
8.2. The Customer retains all rights in the Customer Data. The Customer grants the Provider a non-exclusive, royalty-free, worldwide licence to host, process and otherwise use the Customer Data to the extent necessary to provide the Services, including making backups, operating AI-assisted features following the Customer’s instructions, complying with legal obligations and enforcing this Agreement.
8.3. The Provider may use anonymised or aggregated data derived from the operation of the Services — that is, data that do not identify any data subject or Customer — for the purposes of Service improvement, benchmarking, statistics and research.
8.4. The Customer may, but is not obliged to, authorise the Provider to mention the Customer’s name and logo in non-exhaustive customer lists on the Provider’s website and in marketing materials. The Customer may withdraw this authorisation by writing to hello@golova.ai; the Provider will remove the reference within thirty (30) days.
9.1. Each party is liable to the other for damages caused by its breach of this Agreement, subject to the limits set out below. Nothing in this Agreement excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or wilful misconduct; (c) the Customer’s payment obligations; (d) any other liability that cannot be excluded or limited under applicable law, including mandatory consumer protection provisions.
9.2. Cap for Business Customers. Notwithstanding clause 9.1, the Provider’s aggregate liability to a Business Customer for all claims arising out of or in connection with this Agreement in any twelve (12) month period is limited to the amount of the fees actually paid by the Customer to the Provider for the Services in the twelve (12) months preceding the event giving rise to liability.
9.3. Excluded damages for Business Customers. Notwithstanding clause 9.1, in no event shall the Provider be liable to a Business Customer for indirect or consequential damages, including lost profits, loss of revenue, loss of business opportunity, reputational harm or loss of data not attributable to gross negligence or wilful misconduct of the Provider.
9.4. If the Services are unavailable for more than 24 consecutive hours in a calendar month due to a cause attributable to the Provider, the affected Business Customer is entitled, at its election, to (i) a service credit equal to 1/30 of the monthly fee for each complete 24 hours of unavailability; or (ii) where the unavailability exceeds 72 consecutive hours, to terminate the Subscription with a pro-rata refund of the unused prepaid period.
9.5. Liability towards Consumers. For Consumers, the Provider’s liability is governed by the mandatory consumer protection rules of the Consumer’s country of habitual residence. None of the limitations or exclusions in this section apply to the extent that they conflict with mandatory consumer protection rules. The provisions on legal conformity guarantee under Spanish Royal Decree-Law 7/2021 (Spanish transposition of Directive (EU) 2019/770) are fully applicable.
9.6. The Customer shall indemnify and hold the Provider harmless against third-party claims arising from (a) Customer Data uploaded or processed unlawfully, (b) the Customer’s breach of section 6.2, or (c) the Customer’s processing of personal data of End Users in violation of applicable law.
10.1. The Provider processes personal data of the Customer’s representatives and individual users as controller, in accordance with the Privacy Policy.
10.2. When the Customer uses the Services to process personal data of End Users, the Customer is the controller and the Provider is the processor. The conditions of this processing are governed by the Data Processing Agreement attached as Annex 1 and available at https://golova.ai/en/dpa. By accepting this Agreement, the Customer also accepts the DPA.
10.3. The Customer warrants that it has all necessary legal bases under the GDPR and applicable national legislation to upload personal data of End Users into the Services and to instruct the Provider to process them for the purposes of the Services.
11.1. Certain features of the Services use artificial intelligence to assist the Customer — in particular the AI rider recognition function, automated suggestions and similar. These AI features are limited-risk AI systems within the meaning of Regulation (EU) 2024/1689 (AI Act); the Provider informs Customers about the use of AI in accordance with Article 50 of that Regulation.
11.2. The output of the AI features is provided to the Customer for review and does not constitute an automated decision producing legal effects or significantly affecting data subjects within the meaning of Article 22 GDPR. The Customer remains responsible for verifying and using the output.
11.3. The Provider does not use Customer Data to train general-purpose AI models of third parties without an appropriate legal basis. Where Customer Data is used to improve the Provider’s own AI features, this is done on anonymised or aggregated data, or following the Customer’s instructions as controller.
12.1. The Agreement enters into force when the Customer registers an Account and remains in force for as long as the Account exists.
12.2. The Customer may terminate the Agreement at any time using the cancellation procedure described in section 4.6 or by writing to hello@golova.ai. Termination takes effect at the end of the current billing period, unless the Customer is entitled to immediate termination (sections 4.8, 7.2 or 14).
12.3. The Provider may terminate the Agreement on thirty (30) days’ notice for any reason, and with immediate effect if the Customer materially breaches this Agreement and the breach is incurable or the Customer fails to cure it within thirty (30) days after written request.
12.4. Following termination, the Customer’s access to the Services ends. The Provider grants the Customer a period of thirty (30) days after termination to export the Customer Data. After that period, the Customer Data are deleted from active systems within an additional thirty (30) days, save where retention is required by law (in particular accounting and tax records) or for the defence of claims. Backups are purged according to the standard rotation cycle.
13.1. Service-related notices (changes to this Agreement, price changes, security alerts, transactional emails, invoices) are sent to the Customer’s registered email address. The Customer is responsible for keeping that address updated.
13.2. Marketing communications are sent only where the Customer has consented or where they constitute communications to existing customers based on legitimate interest under Article 21(2) LSSI-CE. Each marketing communication contains an unsubscribe link.
13.3. Legal notices to the Provider should be sent to hello@golova.ai with copy to legal@golova.ai. Legal notices to the Customer are sent to the registered email address.
14.1. Where the Customer is a Consumer (section 2.1), the following provisions apply, additionally and prevailing over the general provisions of this Agreement in case of conflict:
- Right of withdrawal: section 5.2 applies.
- Consumer information: the pre-contractual information required by Article 6 of Directive 2011/83/EU and Articles 97 to 99 of the TRLGDCU is provided through the registration interface and the Service Plan description.
- Cancellation procedure: the simple electronic cancellation procedure described in section 4.6 is available to Consumers, including where the mandatory consumer protection rules of the Consumer’s country of residence require such procedure to be accessible without prior login and within a limited number of clicks.
- Liability: section 9.5 applies; no limitation in section 9 applies to the extent that it conflicts with mandatory consumer protection rules.
- Mandatory consumer rights: notwithstanding the choice of law and jurisdiction in section 15, the Consumer benefits from the mandatory consumer protection rules of the Consumer’s country of habitual residence (Article 6 of Regulation (EC) 593/2008 — Rome I). Those rules apply automatically and prevail over any conflicting provision of this Agreement.
- Forum: notwithstanding section 15, a Consumer may bring actions before the courts of their country of habitual residence (Articles 17 to 19 of Regulation (EU) 1215/2012 — Brussels Ia).
- Out-of-court dispute resolution: the European Commission’s Online Dispute Resolution platform is available at https://ec.europa.eu/consumers/odr/. The Provider is not obliged to, and does not undertake to, participate in any specific consumer alternative dispute resolution system unless required by mandatory law.
15.1. This Agreement is governed by Spanish law, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods. The mandatory consumer protection rules of a Consumer’s country of habitual residence (where applicable) are unaffected — see section 14.
15.2. Any dispute arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts and tribunals of Barcelona, Spain — without prejudice to a Consumer’s right to bring actions before the courts of their country of habitual residence (section 14).
15.3. We may modify this Agreement periodically. Material modifications are notified to the Customer at least thirty (30) days in advance, by email and through a notice within the Services. If the Customer does not agree to the new terms, the Customer may terminate the Subscription before the new terms take effect; continued use after the effective date constitutes acceptance.
15.4. Neither party may assign or transfer this Agreement without the prior written consent of the other party, except that the Provider may assign this Agreement (in whole or in part) to a successor in a merger, acquisition or reorganisation, provided the assignee assumes the Provider’s obligations.
15.5. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be replaced by a valid provision that most closely approximates the original intent.
15.6. Where this Agreement requires “in writing”, communications by email satisfy that requirement, provided that the identity of the sender and the integrity of the content can be reasonably established.
15.7. The failure of the Provider to exercise a right under this Agreement at a particular time does not constitute a waiver of that right.
